Terms of Service

Agreement

By accessing or using VidKit's website, API, waitlist, or related services ("Services"), you agree to these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

Use of the Services

You may use the Services only in compliance with these terms and applicable law. You are responsible for maintaining the confidentiality of any API keys or credentials we provide. You may not: (1) resell or sublicense the API or data in a manner that competes with VidKit; (2) use the Services for illegal or harmful purposes; (3) attempt to circumvent usage limits, security, or access controls; (4) scrape or overload our systems.

Acceptable use

You must not use the Services to violate any third party's rights, distribute malware, harass others, or process content that is illegal, infringing, or that you do not have rights to use. We may suspend or terminate access if we reasonably believe you have violated these terms or acceptable use.

Intellectual property

VidKit and its licensors retain all rights in the Services, including the API, documentation, and our brand. We grant you a limited, non-exclusive, revocable license to use the Services in accordance with these terms. You retain rights in your own applications and content that you submit or process via the API.

Fees and payment

Use of the Services may be subject to fees as described in our pricing or in a separate agreement. You are responsible for all taxes. We may change pricing with notice; continued use after changes constitutes acceptance. Refund policy is as stated at the time of purchase or in your agreement.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error-free, or that results from the API will be accurate or complete. You use the Services at your own risk.

Limitation of liability

To the maximum extent permitted by law, VidKit and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid us in the twelve months preceding the claim (or one hundred dollars if greater).

Indemnification

You agree to indemnify and hold harmless VidKit and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these terms, or your violation of any third-party rights.

Changes and termination

We may modify these terms at any time. We will post the updated terms on this page and update the "Last updated" date. Continued use after changes constitutes acceptance. We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services ceases immediately.

General

These terms constitute the entire agreement between you and VidKit regarding the Services. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. These terms are governed by the laws of the jurisdiction in which VidKit operates, without regard to conflict of law principles.
